This Agreement is made as of today, between SoftScan (UK) Limited, whose registered office is located at The White House, Mill Road, Goring on Thames, Reading, Berkshire, RG8 9DD. Registered in England No 05508786 (representing itself and its Affiliates in the signing of this Agreement) ("SoftScan"), and (the "Company")."Affiliates" shall be defined as any company controlled by, controlling, or under common control with SoftScan.Witnesseth:SoftScan is in the business of software and hardware development, marketing and sales and related services. In order for the Company to evaluate the SoftScan service (the ‘Business Purpose’), Company and SoftScan recognise that there is a need for SoftScan and the Company to disclose to each other certain confidential information to be used only for the Business Purpose and to protect such confidential information from unauthorised use and disclosure.In consideration of the disclosure of such information by each of the parties, SoftScan and the Company agree as follows:This Agreement applies to a test of The SoftScan Service including the AntiVirus and AntiSpam modules. Subsequently, all incoming and outgoing mails are scanned according to conditions mentioned in the technical specifications.The service only includes scanning of messages mailed to domain names (MX-records) reported by the Company in this Agreement.A mutual Agreement has been made to test SoftScan for 14 days counting from the day this Agreement is signed.This Agreement is for a free of charge Service and can be terminated by both parties at any given notice. After the test the Company's MX-records will be changed back to its original value(s) if the Company does not want to continue the scanning.Duty of confidentialityWhile fulfilling this Agreement, the SoftScan suppliers and their employees are committed to treat any information they may gain regarding the Company with utmost secrecy and discretion. The Company, their consultants and other business associates that may come to have knowledge of any information regarding the SoftScan suppliers are expected to show the same confidentiality as the SoftScan suppliers do towards its clients. Neither the Company nor the supplier is allowed to publicise matters regarding this Agreement or the content of the Agreement without written permission from either party.
